TERMS & CONDITIONS By accessing RCPC e-Commerce sites, you are agreeing to the following terms and conditions (as modified from time to time), and each time that you access RCPC you reassert your agreement. If you do not agree with these terms and conditions, then you may not access or use RCPC. Password In order to access RCPC, you must present a valid password and user ID. Your password is your sole responsibility, and you must take all necessary actions to safeguard the security of your password and its use in accessing RCPC and ordering product via RCPC. Limited License The information and databases provided to you via RCPC are licensed to you by RCPC for your use only in the ordinary course of your business for your review, selection and purchase of products from RCPC. This license is non-exclusive, non-transferable, and may be terminated by RCPC with or without cause at any time. Limitation of Liability Except as specifically stated herein, neither RCPC nor will any of its directors, employees or other representatives be liable for damages arising out of or in connection with your use of RCPC. This is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect or consequential damages, loss of data, income or profit, loss of or damage to property and claims of third parties. Indemnity You agree to defend, indemnify and hold RCPC and its affiliates, and their respective directors, officers, employees and agents, harmless from and against any and all liabilities, costs and expenses, including reasonable attorneys' fees, arising from or in any way relating to your use of RCPC. Modification This agreement sets forth the entire agreement and understanding of the parties relating to the subject matter herein. RCPC may modify these terms and conditions, as well as the information and functionality of RCPC, at any time. If RCPC should make any changes to these terms and conditions, you may be required to confirm your agreement to such changes in order to access RCPC. Orders and Delivery RCPC may reject any order placed by customer if there is an insufficient supply of products which prevent RCPC from being able to fulfill such order. Delivery times advised to customer are estimates only and RCPC will not be liable for any loss, damage or delay suffered or incurred by Customer or its customers arising from late or non-delivery of the Products. Returns Policy Customer must notify RCPC in writing of any Products it wishes to return within 30 days from the date of the invoice relating to those Products. Each claim for the return of Products by customer will be dealt with in accordance with the Returns Policy. Any substitute Products to be shipped to Customer in accordance with the Returns Policy will be sent by RCPC to Customer by ordinary freight pre-paid. RCPC will not be liable for any damage or defects in the products that have been caused by the improper storage, warehousing or transport, or by any neglect, abuse or improper use, installation, maintenance or the provisions of this do not extend to any products which have been added to, varied, or otherwise modified by, any person other than RCPC. Cancellation Unless otherwise agreed in writing by an authorised officer of RCPC, customer may not cancel an order which has been accepted by RCPC. If Customer's right of cancellation is agreed to by an authorised officer of RCPC in writing, the right must be exercised by notice in writing from Customer to RCPC not later than 7 days before the estimated date of shipment by the manufacturer or RCPC (as the case may be). Unless otherwise agreed between RCPC and the customer, upon cancellation prior to shipment, any deposit paid by customer will be forfeited to RCPC. Warranty Products are covered by manufacturers' warranty. BY ACCESSING RCPC, YOU ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT.
